These Terms of Service ("Terms") govern your use of the HelloMapper platform operated by Atlas List Group PTY LTD (ABN: 45 684 147 055). By accessing or using our platform, you agree to these Terms and our Privacy Policy.

1. Platform Overview

HelloMapper is a technology platform that connects independent support workers and carers ("Contractors") with clients seeking aged care, disability support, and related services ("Clients") in Australia.

Important: HelloMapper does not employ Contractors. All Contractors are independent entities responsible for their own tax, superannuation, insurance, and legal obligations.

2. Eligibility

To use HelloMapper, you must:

• Be at least 18 years of age
• Have legal capacity to enter into binding contracts
• Reside in Australia or have authorization to work in Australia
• Provide accurate and complete registration information
• Comply with all applicable Australian laws and regulations

3. Account Registration

3.1 For Contractors

Contractors must provide and maintain:

• Valid Australian Business Number (ABN)
• Current qualifications and certifications
• Working with Children Check (where applicable)
• NDIS Worker Screening (for disability support roles)
• Professional indemnity insurance
• Public liability insurance

3.2 For Clients

Clients must provide:

• Valid contact information
• ABN or business details (if applicable)
• Payment method for processing invoices

4. Platform Services

HelloMapper provides:

• Platform access for job posting and discovery
• Matching algorithm for Contractors and Clients
• Scheduling and job management tools
• Secure messaging system
• GPS check-in/check-out verification
• Integrated payment processing (via Stripe)
• Automated invoicing and MYOB integration
• Compliance tracking and document management
• Dispute resolution support

5. Fees and Payments

5.1 Platform Fees for Contractors

Contractors pay a platform fee of 25% of their hourly rate for jobs that include HelloMapper's platform-wide insurance coverage or pre-negotiated client contracts. This fee is clearly disclosed before job acceptance.

5.2 Payment Processing

• All payments are processed through Stripe
• HelloMapper facilitates payment from Client to Contractor
• Platform fees are deducted before remittance to Contractors
• Payments remitted within 7 days of client payment
• Contractors must submit invoices within 48 hours of job completion

5.3 Tax Obligations

Contractors are responsible for all tax obligations including:

• Income tax reporting to the ATO
• GST registration and remittance (if earnings exceed $75,000/year)
• Superannuation contributions
• Issuing ATO-compliant invoices

6. Independent Contractor Status

This Agreement establishes an independent contractor relationship governed by Australian law, including the ATO's guidelines for independent contractors.

Contractors retain control over how, when, and where services are performed. Contractors are responsible for their own workers' compensation, superannuation, tax withholdings, tools, equipment, and travel costs.

7. Insurance Coverage

HelloMapper provides secondary insurance coverage for jobs booked through the platform, including:

• Public liability insurance
• Professional indemnity insurance
• Management liability insurance
• Cyber liability insurance

Important: Contractors must maintain their own primary insurance. HelloMapper's insurance acts as secondary coverage only and excludes intentional misconduct or breaches of these Terms.

8. Compliance and Conduct

8.1 For Contractors

You agree to:

• Provide services professionally and lawfully
• Adhere to NDIS Code of Conduct (where applicable)
• Maintain current qualifications and registrations
• Comply with Work Health and Safety Act 2011 (Cth)
• Use GPS check-in/check-out for all jobs
• Maintain confidentiality per Australian Privacy Principles

8.2 For Clients

You agree to:

• Accurately define service requirements
• Provide a safe, lawful, and respectful environment
• Comply with Privacy Act 1988 (Cth) and Australian Privacy Principles
• Process payments through the platform
• Classify Contractors as independent entities

9. Non-Solicitation

9.1 Contractors

For 12 months after termination, Contractors shall not solicit or encourage any HelloMapper client to obtain services outside the platform. Breach may result in liquidated damages equal to 100% of fees HelloMapper would have earned over the previous 12 months.

9.2 Clients

For 6 months after termination, Clients shall not directly engage Contractors outside the platform without paying a placement release fee of $5,000 AUD (or negotiated alternative).

10. Termination

10.1 Voluntary Termination

Either party may terminate with 14 days' written notice. Outstanding payments must be settled within 14 days post-termination.

10.2 Immediate Termination

We may immediately terminate or suspend your account for:

• Material breaches of these Terms
• Fraud or illegal activities
• Safety violations
• Non-compliance with Australian laws
• Solicitation of platform users

11. Dispute Resolution

Parties agree to mediate disputes via the Australian Commercial Disputes Centre prior to litigation. HelloMapper provides dispute resolution support including review of GPS data, messages, and job records.

12. Limitation of Liability

HelloMapper facilitates connections only and is not liable for Contractor acts, omissions, or service quality, except as required by Australian Consumer Law. Our maximum liability is limited to fees paid in the 12 months preceding the claim.

13. Amendments

We may update these Terms with 30 days' written notice via email or platform notification. Continued use after changes constitutes acceptance.

14. Governing Law

These Terms are governed by the laws of Western Australia, Australia, and comply with federal statutes including the Taxation Administration Act 1953.
